Terms of service

1. Service description

minddy is an online issue tracking service provided by Clément Guérin, sole proprietor (SIRET: 10028571700011), 43 Quai Malakoff, 44000 Nantes, France (hereinafter "minddy").

The service lets you create projects, track issues and objectives within them, organize your work into cycles, gather feedback through public boards, and connect AI assistants to your account via an MCP server.

Some features rely on artificial intelligence models provided by third parties (the Numo assistant, the coding agent, dictation). Content submitted to those features is sent to those providers for processing.

2. Access to the service

  • Access requires creating an account, either with an email and password or through a Google or GitHub account.
  • The service is intended for professional use. Users must be of legal age and have the legal capacity to enter into a contract.
  • Users are responsible for keeping their credentials confidential, for the permissions they grant to third-party applications, and for any API keys they provide.

3. Pricing and subscriptions

  • minddy offers a free plan and paid plans (Go, Pro), billed monthly or yearly. Current prices are displayed at the time of subscription.
  • Payments are handled by Stripe. By subscribing to a paid plan, you accept Stripe's terms. minddy stores no banking details.
  • Each plan comes with usage quotas (projects, agent runs, AI requests) shown in the application. Exceeding them suspends the corresponding feature until the next cycle or until you change plan.
  • minddy reserves the right to change its pricing with 30 days' notice by email.
  • No refunds are granted for periods already started, unless required by law.

4. Acceptable use

You agree not to use minddy to:

  • Publish or store unlawful or defamatory content, or content infringing third-party rights
  • Circumvent usage quotas or the technical limits of the service
  • Run the coding agent against a repository you are not authorized to modify
  • Send spam through public feedback boards, or collect data there without informing the people concerned
  • Carry out any illegal activity or anything that harms the operation of the service

5. Your content

The projects, issues, comments and files you upload remain yours. minddy claims no rights over them and uses them for no purpose other than providing the service.

You warrant that you hold the necessary rights over the content you upload, including when it originates from third parties or from your own customers.

6. AI assistant and coding agent

The Numo assistant, dictation and the coding agent send the relevant content — issues, comments, and for the agent the code of the linked repository — to the model provider OpenRouter for processing.

By running the coding agent on an issue, you authorize minddy to clone the linked repository into an isolated, ephemeral execution environment (Vercel Sandbox), run the project's commands there, push a branch and open a pull request on that repository.

AI output (answers, code, pull requests) may contain errors. It is provided as is: reviewing and validating it before merging is your responsibility. minddy warrants neither the accuracy nor the fitness of the code produced.

7. Public feedback boards

If you open a public board, you are its publisher: you are answerable for the content posted on it, for moderating it, and for informing the people who submit feedback there.

Data belonging to people who take part in your board (verification email, votes, messages) is processed by minddy on your behalf and on your instructions, as a processor within the meaning of the GDPR. Details are in the privacy policy.

8. Third-party applications and MCP

You may authorize third-party applications — notably AI assistants through minddy's MCP server — to access your account using the OAuth 2.1 protocol.

You are responsible for the permissions you grant and for how those applications use them, including content they create or modify on your behalf. Every authorization can be revoked at any time from your account settings.

9. Custom domains

You may point a domain you own to a feedback board or a shared view. You warrant that you own that domain or are duly authorized to use it.

The technical setup relies on Vercel. minddy may withdraw a domain whose use breaches these terms.

10. Liability

minddy is a technical tool. You are solely responsible for the content you store in it, the repositories you link, and how you use the results it produces.

minddy undertakes to provide the service with the reasonable care of a professional, but does not guarantee uninterrupted availability. Its liability shall not exceed the amount paid by the user over the previous 3 months.

11. minddy's intellectual property

The code, interface and minddy brand are the exclusive property of Clément Guérin. Any unauthorized reproduction or exploitation is prohibited.

Nothing in these terms transfers any rights in the service: a subscription grants a personal, non-exclusive and non-transferable right of use for its duration.

12. Termination

  • You may cancel your subscription at any time from the billing settings. The service remains available until the end of the period already paid for, then reverts to the free plan.
  • You may request deletion of your account and its data by writing to hello@minddy.app.
  • minddy reserves the right to suspend or delete an account that breaches these terms, without notice or refund.

13. Right of withdrawal

Under Article L221-18 of the French Consumer Code, you have 14 days from subscribing to exercise your right of withdrawal, without having to give any reason.

However, under Article L221-28, 13° of the French Consumer Code, you acknowledge and agree that performance of the service begins as soon as your subscription is confirmed. You therefore expressly waive your right of withdrawal once the service has been fully performed within the withdrawal period.

If the service has not been fully performed, you may exercise that right by writing to hello@minddy.app. A pro-rata refund will be issued for the unused period.

14. Governing law

These terms are governed by French law. In the event of a dispute, and failing an amicable resolution, the competent courts are those of Nantes.
